1. Acceptance of Terms
By accessing or using the Flavell healthcare platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all users, clinics, providers, and others who access or use the Service.
2. Description of Service
Flavell is a Software-as-a-Service (SaaS) platform designed for clinical management. It provides tools for appointment scheduling, patient records management, billing, AI-assisted clinical notes, and telehealth consultations. Flavell does not provide medical services directly.
3. Eligibility
You must be a legally recognized medical practice, clinic, or licensed healthcare provider to create a clinic account. By agreeing to these Terms, you represent and warrant that you possess the necessary licensing, permits, and authority to practice medicine and handle patient data in your jurisdiction.
4. User Responsibilities
As a user of Flavell, you are solely responsible for:
- Maintaining the confidentiality of your account login credentials.
- Ensuring all patient data entered into the system is accurate and legally obtained with patient consent.
- Compliance with all applicable healthcare data protection laws (e.g., HIPAA, GDPR) in your respective region.
5. AI Disclaimer
No Medical Advice or Diagnosis
Flavell includes Artificial Intelligence (AI) features for generating clinical notes, summarizing transcripts, and providing revenue insights. These tools do not constitute medical advice, diagnosis, or treatment. The ultimate responsibility for medical decisions, prescriptions, and patient care rests entirely with the licensed healthcare provider using the software, regardless of any AI-generated suggestions or transcriptions.
Providers must verify all AI-generated content (including transcripts and clinical summaries) for accuracy before finalizing medical records.
6. Telehealth & Video Consultation Disclaimer
Video consultations provided through Flavell (via Stream SDK) are intended to facilitate remote communication. We do not guarantee uninterrupted or error-free video connections. Flavell is not liable for dropped calls, poor internet connectivity, or technical failures during a telehealth session that may impact patient care.
7. WhatsApp & Messaging Compliance
By using Flavell's WhatsApp integration to communicate with patients:
- You agree to comply with Meta's WhatsApp Commerce and Business Policies.
- You are solely responsible for obtaining necessary patient opt-ins before initiating communication.
- Flavell reserves the right to immediately suspend or terminate your WhatsApp integration if you engage in spamming or violate messaging policies, exposing Flavell to liability.
8. Payments & Billing
Flavell provides invoicing and payment tracking (e.g., Cash, UPI, Card, Insurance) features as a digital ledger. Flavell is merely a facilitator for billing records and is not liable for payment disputes, chargebacks, or insurance claim denials between the clinic and the patient.
9. Subscription & Termination
Subscriptions are billed according to the plan selected by the clinic. Flavell reserves the right to suspend or terminate accounts that fail to pay subscription fees. Upon termination, clinics will have a limited grace period to export their data before it is permanently deleted in accordance with our Data Retention policy.
10. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Flavell and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
11. Security & Compliance
While we implement robust, industry-standard security measures (including encryption at rest and in transit, and comprehensive audit logs), no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security. You are responsible for ensuring that your local devices and networks are secure.
12. Limitation of Liability
In no event shall Flavell, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any medical outcomes resulting from the use of the platform.
13. Indemnification
You agree to defend, indemnify and hold harmless Flavell and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.
14. Modifications to the Service
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
15. Governing Law
These Terms shall be governed and construed in accordance with the laws, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
